General Terms and Conditions (T&C)

 

1. Scope of Application

These Terms and Conditions apply to all contracts, offers, and services between «Reuter Medical GmbH» and the Client. Any deviations from these terms require written confirmation.

2. Services and Contract Formation

The Consultant provides consulting services as agreed upon with the Client. A contract is formed upon written acceptance of an offer or formal assignment.

3. Fees and Payment Terms

  • Fees are charged based on the agreed hourly rate or fixed amount.
  • Invoices are payable within 7 days from the invoice date without deduction.
  • In case of delayed payment, the Consultant may apply interest charges of [legal interest rate].

4. Liability Disclaimer

  • The Consultant is liable only for intentional or grossly negligent breaches of duty.
  • Liability for indirect damages, lost profits, or consequential damages is excluded.
  • The Client is responsible for the implementation and use of the consulting results.

5. Confidentiality and Data Protection

  • Both parties commit to maintaining confidentiality regarding all received information during the collaboration.
  • The Consultant handles personal data in compliance with Swiss data protection laws.

6. Contract Duration and Termination

  • The duration of the contract is determined by individual agreements.
  • Termination must be in writing. Services already provided remain payable in any case.

7. Final Provisions

  • Any amendments or additions to these T&C must be in writing.
  • If any provision is deemed invalid, the remainder of the agreement remains unaffected.
  • Swiss law applies, and the place of jurisdiction is Zurich.
